Terms of Sale

Article 1 — Purpose
These General Terms of Sale (GTS) govern the conditions for subscribing to Wave offerings provided by Digital Haute Couture (SAS, share capital €10,000, registered in France). Any subscription constitutes acceptance of these GTS.
Article 2 — Offerings and pricing
Wave is offered as a SaaS solution under the plans available on the Pricing page of the website. All prices are in euros, exclusive of VAT. Digital Haute Couture reserves the right to amend its pricing with 30 days' notice by email.
Article 3 — Subscription process
Subscriptions are taken out online or via a formal quotation. Any subscription becomes binding upon receipt of the order confirmation by email.
Article 4 — Billing and payment
Billing is monthly or annual depending on the chosen plan. Payment is made by credit card or bank transfer. Any late payment will result in suspension of the service following a formal notice remaining without effect for 8 days.
Article 5 — Term and termination
The subscription is taken out for a fixed term as defined by the chosen plan. Once the initial period has elapsed, it renews automatically. Termination must be notified by email to contact@digital-haute-couture.com at least 30 days before the renewal date.
Article 6 — Right of withdrawal
In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal does not apply to contracts for the supply of digital content that has commenced with the client's prior agreement. These GTS are governed by French law and this provision applies under French jurisdiction.
Article 7 — Provider obligations
Digital Haute Couture undertakes to provide the service with a target availability of 99.5% (excluding planned maintenance), to ensure data security, and to notify the client of any major incident within 72 hours.
Article 8 — Client obligations
The client undertakes to use Wave in accordance with its intended purpose, not to share login credentials, to keep billing information up to date, and to comply with these GTS.
Article 9 — Intellectual property
Wave and all of its components remain the exclusive property of Digital Haute Couture. No licence is granted beyond the right of use provided by the subscription.
Article 10 — Liability
Digital Haute Couture's liability is limited to the total amounts actually received during the 12 months preceding the incident. Digital Haute Couture shall not be held liable for any indirect damages.
Article 11 — Data protection
The processing of personal data is governed by the Privacy Policy accessible on the website. Digital Haute Couture acts as a data processor within the meaning of the GDPR with respect to the personal data of the subscriber's end clients.
Article 12 — Applicable law and disputes
These GTS are governed by French law. In the event of a dispute, the parties undertake to seek an amicable resolution before initiating legal proceedings. Failing that, the Commercial Court of Paris shall have sole jurisdiction.
